Directors' report

The Directors present their report on the Australian Library and Information Association Limited ('the Association'), for the year ended 31 December 2003.

1. Directors

Dr Angela Bridgland, Ms Deanne Barrett, Mr Kevin Dudeney (re-appointed 16 May 2003), Ms Imogen Garner (appointed 16 May 2003), Professor Joyce Kirk (retired 15 May 2003), Ms Christine Mackenzie (president), Ms Vicki McDonald; Ms Ann Ritchie (appointed 16 May 2003); Ms Moyra McAllister (retired 15 May 2003)

Details of their qualifications and experience and meetings attended are set out in sections 9 and 10 of this report.

2. Principal activity

The principal continuing activity of the Association during the past year was representing the interests of members engaged in the library and information science profession.

5. Dividends paid or proposed

In accordance with the Constitution, the Association is a company limited by guarantee. Under its rules the Association is prohibited from the payment of a dividend to members.

6. Significant changes in the state of affairs

There was no significant change in the state of affairs of the Association during the year ended 31 December 2003.

7. Matters subsequent to the end of the financial year

At the date of this report there is no matter orcircumstance which has arisen since 31 December 2003 that has significantly affected or may significantly affect the results of those operations or the state of affairs of the Association in subsequent years.

8. Directors' benefits

Since 31 December 2002, no director of the Association has received, or become entitled to receive, a benefit because of a contract that the director, a firm with which the director is a member, or an entity in which the director has a substantial financial interest, has made during the year ended 31 December 2003, or at any other time with the Association.

11. Environmental regulations

The Association has assessed whether there are any particular or significant environmental regulations which apply. It has not identified any compliance breaches during the year.

12. Indemnification and insurance of officers

During the year, the Association paid insurance premiums totalling $6702 (2002: $6710) in respect of directors' and officers' liability insurance.

The directors' and officers' liability insurance provides cover against all costs and expenses involved in defending legal actions and any resulting payments arising from a liability to persons (other than the Association or a related body corporate) incurred in their position as director or executive officer unless the conduct involved willful breach of duty or improper use of inside information or position to gain advantage. The policy does not specify the premium for individual directors and executive officers.

13. Auditor

PricewaterhouseCoopers continues in office in accordance with section 327 of the Corporations Act 2001. This report is made in accordance with a resolution of the directors.
