Directors' report
The directors present their report on the Australian Library and Information Association ('the Association'), for the year ended 31 December 2000.
1. Directors
The following persons were directors of the Association from 24 May 2000 up to the date of this report: Mr Craig Anderson, Dr Angela Bridgland, Prof Mairéad Browne, Dr Alan Bundy, Prof Joyce Kirk, Ms Chris Richardson, Dr Naida Tattersall.
The following persons were directors of the Association from the change in status to a company on 1 March 2000 to 23 May 2000: Mr Craig Anderson, Prof Mairéad Browne, Dr Alan Bundy, Ms Colette McCool, Ms Elizabeth McLaren, Mr John Shipp, Mr Trevor Wakely.
The following persons were councillors of the Association up to the date of change in status to a company on 1 March 2000: Ms Ann Alderslade, Mr Craig Anderson, Ms Deanne Barrett, Ms Marion Boyd, Prof Mairéad Browne, Dr Alan Bundy, Ms Imogen Garner, Mr Jim Graham, Mr Ian McBain, Ms Ruth McIntyre, Ms Elizabeth McLaren, Ms Roxanne Missingham, Ms Chris Richardson, Mr Trevor Wakely, Ms Janette Wright, Ms Carolyn Young.

2. Principal activity
The principal continuing activity of the Association during the past year was representing the interests of members engaged in the library and information science profession.

The operations of the Association continue to be based on representing the interests of members engaged in the library and information science profession.
5. Dividends paid or proposed
In accordance with the Constitution, the Association is a company limited by guarantee. Under its rules, the Association is prohibited from the payment of a dividend to members.
6. Significant changes in the state of affairs
As of 1 March 2000, the Association changed from a Corporation under Royal Charter to a Company Limited by Guarantee under Australian Corporations Law.
7. Matters subsequent to the end of the financial year
At the date of this report there is no matter or circumstance which has arisen since 31 December 2000 that has significantly affected or may significantly affect the results of those operations or the state of affairs of the Association in subsequent years.
8. Directors' and general councillors' benefits
Since 31 December 1999, no councillor or director of the Association has received, or become entitled to receive, a benefit because of a contract that the councillor or director, a firm with which the councillor or director is a member, or an entity in which the councillor or director has a substantial financial interest, has made during the year ended 31 December 2000, or at any other time with the Association.

11. Environmental regulations
The Association has assessed whether there are any particular or significant environmental regulations which apply. It has not identified any compliance breaches during the year.
12. Indemnification and insurance of officers
During the year the Association paid insurance premiums totalling $3624 in respect of directors and officers liability insurance. The directors and officers liability insurance provides cover against all costs and expenses involved in defending legal actions and any resulting payments arising from a liability to persons (other than the Association or a related body corporate) incurred in their position as general councillor, director or executive officer unless the conduct involved willful breach of duty or improper use of inside information or position to gain advantage. The policy does not specify the premium for individual and general councillors, directors and executive officers.
13. Auditor
PricewaterhouseCoopers continues in office in accordance with section 327 of the Corporations Law. This report is made in accordance with a resolution of the directors.
