Directors' report

The directors present their report on the Australian Library and Information Association ['the Association'], for the year ended 31 December 1999.

1. Directors


The following persons were directors of the Association from the change in status to a company up to the date of this report: Prof Mairéad Browne, Dr Alan Bundy, Mr Craig Anderson, Ms Elizabeth McLaren, Ms Colette McCool, Mr John Shipp, Mr Trevor Wakely.

The following persons were councillors of the Association during the whole financial year and up to the date of change in status to a company: Ms Ann Alderslade, Ms Colette McCool, Mr Craig Anderson, Ms Elizabeth McLaren, Prof Mairéad Browne, Mr Tony Ralli, Ms Imogen Garner, Ms Chris Richardson, Mr Jim Graham, Mr John Shipp, Mr Ian McBain, Mr Trevor Wakely.

Ms Marion Boyd, Ms Carolyn Young, Ms Ruth McIntyre and Ms Janette Wright were councillors from their appointment on 16 July 1999 until the date of this report. Dr Alan Bundy, was elected vice-president for 2000 and Ms Deanne Barrett, and Ms Roxanne Missingham were elected general councillors for 2000 replacing Ms Imogen Garner and Mr Tony Ralli. Ms Sandra Horsell was a councillor from the beginning of the financial year until her resignation on 1 February 1999. She was replaced by Mr Ian McBain.

Details of their qualifications and experience and meetings attended are set out in sections 7 and 8 of this report.

2. Principal activity
The principal continuing activity of the Association during the past year was representing the interests of members engaged in the library and information science profession.

The operations of the Association continue to be based on representing the interests of members engaged in the library and information science profession.

5. Matters subsequent to the end of the financial year
As of 1 March 2000, the Association changed from a Corporation under Royal Charter to a Company Limited by Guarantee under Australian Corporations Law. The directors' report has been prepared under the Corporations Law and the financial statements have been prepared under Royal Charter. At the date of this report there is no matter or circumstance which has arisen since 31 December 1999 that has significantly affected or may significantly affect the results of those operations or the state of affairs of the Association in subsequent years.

6. Directors'/general councillors' benefits
Since 31 December 1998, no councillor or director of the Association has received, or become entitled to receive, a benefit because of a contract that the councillor or director, a firm with which the councillor or director is a member, or an entity in which the councillor or director has a substantial financial interest, has made during the year ended 31 December 1999, or at any other time with the Association.

8. General Council meetings
The General Council met on five occasions during the year ended 31 December 1999, two of these occasions were for the one meeting that was adjourned. The following table sets out the number of General Council meetings attended by each general councillor.

9. Indemnification and insurance of officers
During the year the Association paid insurance premiums totalling $4673 in respect of directors' and officers' liability insurance. The directors' and officers' liability insurance provides cover against all costs and expenses involved in defending legal actions and any resulting payments arising from a liability to persons (other than the Association or a related body corporate) incurred in their position as general councillor or executive officer unless the conduct involved willful breach of duty or improper use of inside information or position to gain advantage. The policy does not specify the premium for individual and general councillors and executive officers.

10. Auditor
PricewaterhouseCoopers continues in office in accordance with section 327 of the Corporations Law. This report is made in accordance with a resolution of the directors.
