ALIA By-laws Advisory Committee

Terms of reference

Purpose

The ALIA By-laws Advisory Committee advises the ALIA Board of Directors of potential revisions to the Constitution and By-laws of the Australian Library and Information Association to ensure clarity and internal consistency.

The Committee acts on matters referred by the ALIA Board of Directors. It may also advise the Board of Directors of elements of the Constitution and By-laws of the Australian Library and Information Association potentially requiring review.

Membership

The By-Laws Committee shall comprise three members, appointed by the Board of Directors, and the executive director or the executive director's delegate. The members of the Committee may appoint a convenor for the committee from amongst themselves. As much as is practicable, members of the Committee should be familiar with the drafting of legal documentation. The Committee may consult other experts as needed, where expertise is not available through the Committee's membership.

Terms of office

Members will be appointed for a term of up to three years. Members may not serve more than two consecutive terms.

Communication

The Committee will generally meet electronically, or face-to-face as needed but at least once a year. The Committee shall report as required on matters referred by the Board of Directors. It may also refer elements of the Constitution and By-laws of the Australian Library and Information Association potentially requiring review to the Board of Directors for consideration.

Review

The Committee shall be subject to the review requirements of the ALIA Board of Directors at least once every two years.

ALIA National Office may provide secretarial support.
