By-law 6: Board of Education

1. There shall be a Board of Education as follows:
  1. ten members, seven of whom shall be elected by the members of the Association entitled to vote and three shall be elected by the Board of Directors;
  2. at least seven members of the Board of Education must be professional members;
  3. the president, ex officio;
  4. the executive director, as a non-voting executive member.
2. There shall be as a minimum three practitioners and three educators on the Board of Education: practitioners shall be defined as persons working in the field of libraries or information services and educators as persons teaching library or information science.
3. The Board of Education shall carry out its functions in accordance with the Constitution and by-laws.
4. The powers of the Board of Education shall include the recognition of courses in library and information science, and determination of conditions under which associate and library technician members shall be admitted.
5. The terms of office of members of the Board of Education shall be three years, the terms to commence on the first day of January following election unless otherwise determined by the Board of Directors. members may not serve more than two consecutive terms, except that a chair of the Board of Education who has not served two consecutive terms as chair may stand for election to the Board of Education for a third consecutive term.
6. Election of members of the Board of Education by the membership at large shall be conducted as described in by-law 4
7. To meet the requirement that seven members of the Board of Education shall be professional members, the first two members declared elected in each annual ballot shall be the professional members receiving the greatest number of votes. In those years four members are to be elected, the first three members declared elected will be the three professional members receiving the greatest number of votes. In the event of the number either of practitioners or of educators already on or elected to the Board of Education falling below three, the Board of Directors in its election of members of the Board of Education shall ensure the specified composition of the Board of Education is retained.
8. After the election of Board of Education members has been declared, the Board of Directors shall appoint one member to the Board of Education. This appointment shall ensure a balance of membership on the Board of Education, as described in paragraph 1 hereof.
9. The Board of Directors shall fill casual vacancies on the Board of Education.
10.
  1. The term of office for the chair and deputy chair of the Board of Education shall be for a term of two years, for the period commencing 16 January and ending 31 December of the following year.
  2. The election of the chair and deputy chair of the Board of Education shall be conducted in alternate years, such that the chair is elected in one year and the deputy chair in the following year.
  3. The election of the chair and the deputy chair of the Board of Education shall be conducted as determined by members of the Board of Education.
  4. The chair and deputy chair of the Board of Education shall take office on 16 January in every alternate year.
  5. In the event of a vacancy in the chair of the Board of Education at the end of a term of office, the deputy chair shall assume that office until a new chair is appointed.
  6. In the event of the offices of chair or deputy chair of the Board of Education becoming vacant for any reason during the currency of their term, the members of the Board of Education shall appoint a successor from among their number for the remainder of the said term of office.
11. The Board of Education may meet at any time or place determined by the Board of Education and shall meet at least once in each year.
12. A quorum at meetings of the Board of Education shall be six members present.
13. The Board of Education may appoint sub-committees for particular purposes, and such sub-committees may be as required.
