The ALIA Board of Directors
Responsibilities
Under Corporations Law and the Constitution of the Asssociation, directors have particular duties and responsibilities. See the links alongside for duties and responsibilities relating to specific positions on the Board.
The duties of the Board are:
- to act within its powers under Corporations Law and ALIA's Constitution, consistently with the purposes for which the powers were conferred;
- to act honestly;
- to provide members with accurate and sufficient information when seeking their support for decisions;
- to give members honest opinion and advice; and
- to act in the best interests of the Association as a whole.
Specific duties under the Constitution and By-laws.
The Constitution and the Association By-laws empower or require the Board to perform specific duties, for example to:
- operate the financial affairs [Constitution cl.14];
- establish the divisions of the Association, monitor their activities and, where decided, delegate powers to them [By-law 2];
- organise the National Advisory Congress and receive the recommendations of the delegates [Constitution cl.18];
- appoint the National Awards Committee [By-law 7].
