The ALIA Board of Directors

Qualifications

Directors must be at least 18 years old. A maximum age may be fixed under the ALIA Constitution. Directors must be financial members of the Association, with a month's leeway permitted.

People disqualified from directorships, without leave of court, include bankrupts and those convicted of or imprisoned for breaches of the Corporations Law, within five years of conviction or imprisonment.

Duties and responsibilities

Directors control the management and business of the Association. In doing so they must be honest and careful at all times and know what the Association is doing. They must ensure that the Association keeps proper financial records and can pay its debts. They must act in the best interests of the Association.

Any information acquired as a director must be used properly and in the best interests of the Association. It is a criminal offence under Corporations Law to use company information for personal gain or to harm the company.
